Fairwood Shareholders Endorse FY2026 Accounts, HK$0.25 Final Dividend and Share Mandates at AGM

Fairwood Holdings Limited reported that all resolutions tabled at the 4 September 2026 Annual General Meeting were approved by poll, underscoring broad shareholder support for management proposals.

Financial Statements and Dividend • The audited financial statements for the year ended 31 March 2026 were adopted with 99.999985% of votes cast in favour. • A final cash dividend of HK$0.25 per share was sanctioned by the same majority. Based on the 129.55 million shares in issue at the meeting date, the payout implies a distribution of approximately HK$32.39 million.

Board Composition and Remuneration • Independent Non-executive Directors Dr Peter Lau Kwok Kuen and Dr Peter Wan Kam To were re-elected, receiving 99.01% and 98.93% support respectively. • The Board was authorised to determine directors’ remuneration, backed by 99.9998% of votes cast.

Auditor Re-appointment • Deloitte Touche Tohmatsu was re-appointed as auditor with 98.34% approval, and the Board was empowered to set audit fees.

General Mandates • Issuance mandate: 87.32% of votes supported granting the Board authority to issue additional shares up to 20% of existing share capital. • Share buy-back mandate: 99.999% approved allowing the repurchase of up to 10% of issued shares. • Mandate extension: 87.37% backed extending the issue mandate by the amount of shares repurchased.

Voting Overview A total of 65.48 million shares were voted on the principal resolutions, representing roughly 50.54% of the 129.55 million shares entitled to vote. Computershare Hong Kong Investor Services acted as scrutineer for the poll.

The AGM was attended in person by Chairman Dennis Lo Hoi Yeung, Vice Chairman Lo Fai Shing Francis, CEO Peggy Lee, Independent Non-executive Director Joseph Chan Kai Nin and Independent Non-executive Director Dr Peter Lau Kwok Kuen; Independent Non-executive Director Yip Cheuk Tak joined electronically, while Dr Peter Wan Kam To was absent due to other commitments.
