Uni-President China Holdings Ltd. will hold its 2026 annual general meeting at 9:30 a.m. on 5 June 2026 at the United Conference Centre, Admiralty, Hong Kong. Key proposals include:
1. Financial Statements and Dividend • Shareholders will be asked to receive the audited consolidated financial statements for the year ended 31 December 2025 and approve the proposed final dividend. • The shareholder register will close from 11 to 15 June 2026 to determine dividend entitlements; transfers must be lodged by 4:30 p.m. on 10 June 2026.
2. Board Composition • Re-election of four directors: executive directors Lo Chih-Hsien and Liu Xinhua, and non-executive directors Chen Kuo-Hui and Chien Chi-Lin. • The board will seek authority to set directors’ remuneration.
3. Auditor Appointment • Re-appointment of PricewaterhouseCoopers as external auditor for the next financial year, with the board authorised to fix remuneration.
4. Share Capital Mandates • General mandate to issue new shares up to 20% of issued share capital, extendable by the number of shares repurchased. • Authority to repurchase up to 10% of issued shares. • Both mandates will run until the next AGM, their statutory due date, or earlier revocation.
5. Administrative Details • Shareholders must lodge proxy forms by 9:30 a.m. on 3 June 2026. • The register of members closes 1–5 June 2026 for AGM eligibility, with transfers due by 4:30 p.m. on 29 May 2026. • All resolutions will be decided by poll, in line with Hong Kong Listing Rules.
