GRCB Shareholders Clear All 2025 AGM Resolutions; Confirms RMB0.46 Cash Dividend and New INED Appointment

Guangzhou Rural Commercial Bank Co., Ltd. (GRCB) reported that its 2025 Annual General Meeting, together with the first class meetings of Domestic and H shareholders for 2026, concluded on 29 May 2026 with every resolution securing 100% approval of votes cast.

Dividend Payout • Shareholders endorsed a final cash dividend of RMB0.46 (tax inclusive) per 10 shares for FY 2025. • Record date: 9 June 2026; payment date: 15 July 2026. • Dividends to H-shareholders will be settled in Hong Kong dollars at HK$0.52793 per 10 shares, based on the PBoC’s five-day average rate of RMB0.87132 per HK$1.00.

Meeting Participation & Voting • AGM attendance reached 9.27 billion shares, representing 64.37% of GRCB’s 14.41 billion issued shares. • Voting shares totalled 9.20 billion (63.84% of issued). • Domestic Shareholders Meeting recorded 7.52 billion shares present (64.06% of Domestic shares); H-Shareholders Meeting recorded 1.53 billion shares (57.36% of H shares). • All 13 ordinary and one special resolution at the AGM, along with identical special resolutions at both class meetings, were passed unanimously or with near-unanimous support. • Resolution 8 on 2026 related-party transaction caps excluded 5.92 billion shares held by interested parties from voting.

Key Approvals 1. 2025 Board and Supervisory work reports, annual report, financial statements and 2026 budget. 2. 2025 profit distribution plan (final dividend). 3. Engagement of an external auditor for the 2026 financial audit. 4. Election of Mr Lin Jianhao as Independent Non-Executive Director (term effective upon regulatory approval). 5. Dissolution of the Board of Supervisors in line with corporate governance restructuring. 6. Amendments to the Articles of Association and procedural rules for general meetings and the Board; effectiveness pending approval from the Guangdong Bureau of the National Financial Regulatory Administration.

Corporate Governance & Compliance East & Concord Partners (Guangzhou) witnessed the meetings and confirmed that procedures, attendee qualifications and voting processes complied with PRC laws and the Bank’s Articles of Association.

Board Composition Post-meeting, GRCB’s Board comprises three executive directors, seven non-executive directors and five independent non-executive directors under Chairperson Mr Cai Jian.

The unanimous passage of all resolutions paves the way for GRCB’s revised governance framework, scheduled dividend distribution and continued focus on regulatory compliance as it moves into the 2026 financial year.
