QingSong Health Appoints New Joint Company Secretary, Secures Extended HKEX Compliance Waiver

QingSong Health Corporation announced personnel changes and a related regulatory waiver affecting its company secretarial function, effective 23 March 2026.

Mr. CHOW Shing Lung has resigned as Joint Company Secretary and Hong Kong Process Agent under Part 16 of the Companies Ordinance. He confirmed no disagreement with the Board and no matters requiring shareholder attention.

To fill the vacancy, Ms. CHAN Ching Nga has been appointed Joint Company Secretary and Process Agent from the same date. Ms. Chan brings more than 20 years of company-secretarial and corporate-governance experience and is currently Senior Manager, Entity Solutions at Computershare Hong Kong Investor Services. She holds a master’s degree in corporate governance from The Hong Kong Polytechnic University (2012) and is an associate of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK).

Mr. YANG Lei, who became Joint Company Secretary on 23 December 2025 and remains the Group’s strategy and investor-relations specialist, will continue in his role. His prior experience includes positions at Deloitte Touche Tohmatsu, Tyco Fire & Security (Beijing) Co., Beijing Qingsongchou Network Technology, and Guangdao Asset Management.

Regulatory Waiver Update • Original waiver: Granted at listing (23 Dec 2025) for a three-year period to allow Mr. Yang to serve as Joint Company Secretary under HKEX Listing Rules 3.28 and 8.17, conditional on Mr. Chow’s assistance. • Change: With Mr. Chow’s resignation, the company sought and obtained a new waiver effective 23 Mar 2026 through 22 Dec 2028. • Conditions: 1. Mr. Yang must be assisted by Ms. Chan throughout the remaining waiver period. 2. The waiver may be revoked if QingSong Health materially breaches HKEX Listing Rules. Before the waiver expires, the company must demonstrate that Mr. Yang has gained sufficient experience to fulfil the company secretary role independently.

The Board expressed thanks to Mr. Chow for his service and welcomed Ms. Chan to her new positions.
