Eco Atlantic Receives Court Approval for JHI Deal, Falklands Offshore Expansion Nears Completion

Eco (Atlantic) Oil & Gas announced on Monday that its acquisition of JHI Associates has received a final order of approval from the Ontario Superior Court of Justice. This follows a unanimous vote of support from 100% of voting shareholders at a meeting held on May 12.

**Remaining Conditions and Anticipated Approvals** The company stated that the remaining conditions for completing the transaction include approvals from the Falkland Islands Government, the TSX Venture Exchange, and AIM, as well as confirmation of the five-year extension for the PL001 license and Navitas Petroleum's operatorship rights.

**Asset Portfolio Post-Transaction Completion** Upon completion of the deal, Eco will acquire a 35% participating interest in the offshore Falkland Islands PL001 license, operated by Navitas Petroleum, and gain potential exposure to the offshore Canje Block in Guyana. The company expects to issue up to 96.3 million new common shares to JHI shareholders, with approximately 45% of these shares subject to an 18-month lock-up period.

**Management Commentary** Gil Holzman, President and CEO of Eco, stated that the JHI acquisition is in its final stages, with government approvals expected imminently. The team is working diligently to complete the closing as soon as possible after approvals are received. The company is collaborating closely with Navitas on plans to explore the offshore Falkland Islands PL001 license, ensuring a seamless technical transition. Concurrently, JHI and Eco continue to engage with the Government of Guyana regarding a potential extension or reissuance of the Canje Block.
