ISP Holdings Restores Gender Diversity Compliance via Appointment of Independent Director Hang Qingli

ISP Holdings Limited announced that it has rectified its earlier breach of Hong Kong Listing Rule 13.92(2) and Corporate Governance Code provision B.3.5 by appointing Ms. Hang Qingli as an Independent Non-executive Director (INED) and member of the Nomination Committee, effective 5 October 2026. Her appointment re-establishes gender diversity on the six-member board, which now comprises one Executive Director, one Non-executive Director and four INEDs, including one female director.

The company fell out of compliance on 1 June 2026 when former Executive Director Ms. Leung Yuet Ngor resigned, leaving the board with only male members. Under Rule 13.92(2), the company was required to appoint at least one female director within three months, by 31 August 2026. An internal search identified a qualified female senior manager, but she declined the role for personal reasons in August, preventing timely re-compliance.

Given the advanced stage of ongoing litigation and arbitration matters, the Nomination Committee determined that adding a female INED would best serve current operational needs. The company broadened its candidate search externally and selected Ms. Hang in September after assessing her credentials and industry experience.

On 7 October 2026 ISP Holdings secured a waiver from the Hong Kong Stock Exchange, extending the deadline for re-compliance to 4 October 2026. Following Ms. Hang’s appointment on 5 October, the company confirmed full adherence to Rule 13.92(2), CG Code provision B.3.5, and paragraph 3.1 of the Nomination Committee’s terms of reference.

Chairman Mr. Kingston Chu Chun Ho signed the announcement dated 12 October 2026, reiterating the board’s commitment to maintaining appropriate diversity and governance standards.
