ABC proposes RMB160 billion A-share placement to Ministry of Finance and CNTC; seeks 29 Sep shareholder approval and whitewash waiver

Agricultural Bank of China Limited (ABC) released a circular outlining a major capital-raising plan and related shareholder agenda.

Key transaction • ABC intends to issue up to RMB160.00 billion of new domestic A shares—no more than 15% of existing A-share capital—via a non-public placement to seven specified investors. • The Ministry of Finance (MOF) will subscribe RMB130.00 billion; China National Tobacco Corporation (CNTC) and five wholly-owned subsidiaries will take the remaining RMB30.00 billion. • All proceeds, net of expenses, will replenish ABC’s Common Equity Tier 1 capital.

Pricing & structure • Issue price: in principle not lower than the 20-day average A-share price prior to the pricing benchmark date (first day of the issuance period) and no lower than HKD5.232 per H share equivalent mandated by Hong Kong Listing Rules. • Illustrative calculation (based on HKLR floor price) suggests 28.70 billion new shares for MOF and 6.62 billion for CNTC entities, but final numbers depend on the actual issue price. • Shares will be locked up for five years from completion.

Regulatory implications • MOF’s stake would rise from 35.29 % to 39.50 % of enlarged share capital (or 40.20 % if CNTC does not participate). • As the holding increases by more than 2 %, MOF would normally be obliged to make a general offer under Hong Kong’s Takeovers Code. ABC has applied for—and the SFC Executive is minded to grant—a whitewash waiver, subject to approval by at least 75 % of independent H-shareholders and no more than 10 % dissent.

Extraordinary shareholders’ meeting • ABC will hold its second ESM of 2026 on 29 September in Beijing. • Key resolutions include: 2026 interim dividend (RMB1.297 per ten shares, total RMB45.39 billion), the 15 % general mandate, the A-share issuance plan, the conditional subscription agreements with MOF and CNTC, a three-year shareholder-return plan (2026-2028) and authorisation to adjust articles of association post-issuance. • MOF and its concert parties must abstain from voting on resolutions related to their subscription and the whitewash waiver; CNTC entities will abstain from their own subscription items.

Capital impact • As at 30 June 2026 ABC’s CET1 ratio stood at 10.80 %. Management expects the placement to raise this ratio to about 11.41 %, strengthening risk resilience, supporting loan growth and meeting heightened systemic-bank requirements.

Timetable & validity • The share issue must be launched within 12 months of ESM approval and after registrations with the Shanghai Stock Exchange, CSRC, NFRA and other regulators.

Dividend timeline • Shareholders on record 20 October 2026 will receive the approved interim dividend (A-share payment expected 21 October; H-share payment 25 November).
