Yuzhou Group Holdings Company Limited has circulated a form of proxy for an extraordinary general meeting (EGM) set for 10:30 a.m. on 14 August 2026. The meeting will be held at Unit 5805, 58/F, The Center, 99 Queen’s Road Central, Hong Kong.

The sole ordinary resolution seeks shareholder approval, ratification and confirmation of the “Preliminary Agreement” and “Formal Agreement,” together with all transactions contemplated under those documents, as detailed in the circular dated 28 July 2026.

Registered shareholders may appoint one or more proxies to vote on their behalf. Completed proxy forms, together with any relevant authority documents, must reach Computershare Hong Kong Investor Services Limited, 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wan Chai, Hong Kong, no later than 10:30 a.m. on 12 August 2026—48 hours before the scheduled meeting time.

Attendance in person remains permissible despite prior proxy submission; in such cases, the submitted proxy will be deemed revoked upon the shareholder’s personal attendance.
