CAI Corp Sets 8 May 2026 AGM; Seeks Approval for Director Re-election and Renewal of 20% Share-Issue, 10% Buy-back Mandates

CAI Corp has issued its circular for the 2026 annual general meeting, to be held on 8 May 2026 at 11/F, CAI Building, Tin Hau, Hong Kong. Key resolutions are as follows:

• Director re-elections: Six directors who joined the board in 2025—executives Hong Yupeng and Lui Cheuk Hang Henri, non-executive chairman Cai Wensheng and independent non-executives Li Jianbin, Hsieh Ya-fang and Prof Li Jin—will stand for re-election. The Nomination Committee has confirmed compliance with Hong Kong listing independence requirements for the three INEDs.

• Issuance mandate: Management seeks authority to allot, issue or transfer up to 20% of the company’s issued share capital, equivalent to 435.67 million shares, based on the current total of 2.18 billion shares. The mandate would run until the next AGM and can be extended by shares repurchased under the buy-back mandate.

• Share buy-back mandate: The board requests approval to repurchase up to 10% of issued shares, or 217.83 million shares, on-market. Repurchased shares may be cancelled or held as treasury shares for future resale or other permitted uses. Directors state they have no immediate plan to exercise either mandate.

• Shareholding impact: Controlling shareholder Longling Capital and chairman Cai Wensheng together hold 1.33 billion shares, or 61.07% of outstanding equity. A full 10% buy-back would raise their combined interest to 67.86%, still above the public-float minimum and below the threshold that would trigger a mandatory takeover offer.

• Book closure: The register of members will be closed 5–8 May 2026. Share transfers must be lodged by 4:00 p.m. on 4 May 2026 to qualify for AGM voting.

• Auditor re-appointment: Elite Partners CPA Limited is nominated to continue as external auditor for the year ending 31 December 2026.

The board recommends shareholders vote in favour of all resolutions. Poll results will be released through the Hong Kong Stock Exchange following the meeting.
