Golden Resources Dev Plans 10% Share Buy-back and 20% Issuance Mandates; AGM Set for 26 Aug 2026

Golden Resources Development International Limited (Golden Resources Dev) will put several key resolutions to shareholders at its annual general meeting (AGM) on 26 August 2026 in Hong Kong.

The board is seeking fresh mandates that would allow:

• Repurchase of up to 10% of issued share capital – a maximum of 169.74 million shares based on the 1.70 billion shares outstanding as at 22 July 2026. • Issuance of new shares not exceeding 20% of existing capital, representing up to 339.48 million shares, with the mandate extendable by any shares actually repurchased.

The company states that repurchases will be funded by legally available resources under Bermuda law and will only proceed when considered beneficial to net assets or earnings per share. Directors have undertaken to follow Hong Kong listing rules and Bermuda law if the mandate is used.

Shareholdings and Takeovers implications Controlling shareholders Yuen Loong, Chelsey, Camalot and Elite Solution together hold 52.39% of the company. A full 10% buy-back would raise their aggregate interest to about 58.21%, still leaving public float above the 25% minimum.

Director elections and auditor Three directors—Dennis Lam Saihong (Non-executive), Michael Yu Tat Chi (Independent Non-executive) and Tsang Chun Yiu (Executive)—will stand for re-election. KPMG is proposed for re-appointment as auditor; the audit fee for FY 2026/27 is estimated at HK$2.00–2.20 million.

Dividend and timetable Shareholders will also vote on a final dividend; the last trading day with entitlement is 28 August 2026. The register will close from 20 to 26 August 2026 for AGM purposes and on 1 September 2026 for dividend entitlement.

Voting at the AGM will be conducted by poll, and proxy forms must be lodged with Tricor Investor Services by 24 August 2026.
