1. 2025 financial statements, Board report and auditor’s report • Each item secured more than 99.88 % support. • Ernst & Young was re-appointed auditor for 2026 with 99.88 % approval.
2. Profit distribution • A final cash dividend of RMB0.66 per share (tax inclusive) was confirmed. • For H-share holders, the payout translates to HK$0.7589, using the five-day average PBoC rate of RMB0.8697 per HK dollar. • Dividend cheques are scheduled for dispatch on or before 31 July 2026; the A-share payment timetable will be announced separately.
3. Connected-transaction financial services • Shareholders (excluding the controlling shareholder Anhui Transportation Holding Group and its subsidiary) approved continued Deposit and Credit Facilities Services with Anhui Transportation Holding Group Finance Company, with 88.43 % votes in favour.
4. Remuneration framework • The Administrative Measures for the Remuneration of Directors and Senior Management passed with 93.54 % support.
5. General mandate • A special resolution authorising the Board to issue up to 20 % of existing A- and/or H-share capital received 93.79 % approval, exceeding the two-thirds threshold.

• Shares present and voting: 1.25 billion, comprising 973.89 million A-shares and 277.59 million H-shares. • Total issued shares: 1.71 billion; the company holds no treasury shares.
Following the meeting, the Financial Services Agreement with Anhui Transportation Finance became effective immediately. All directors except one attended the AGM in person.
