PCPD posts March 2026 monthly return: issued shares steady at 2.04 billion; only HK$0.02 million Bonus Convertible Notes outstanding

Pacific Century Premium Developments Limited (PCPD) submitted its monthly return for the period ended 31 March 2026, confirming no changes in share capital structure or treasury share position.

Authorised and issued share capital • Authorised share capital remained at 4.00 billion ordinary shares with a par value of HK$0.50, equal to HK$2.00 billion. • Issued share capital was unchanged at 2.04 billion ordinary shares; the company held no treasury shares.

Public float compliance • PCPD reconfirmed compliance with the Main Board’s minimum public-float requirement of 25 % as of 31 March 2026.

Equity incentive schemes • The 2025 Share Option Scheme showed no outstanding or newly granted options during the month. • The scheme still allows up to 203.82 million new shares to be issued upon future grants and exercises.

Convertible securities • Outstanding Bonus Convertible Notes stood at HK$0.02 million, convertible into 40,042 shares at HK$0.50 per share. • Cumulative conversions to date total HK$592.55 million, resulting in 1.19 billion new shares since the notes were first issued in June 2012. • No conversions occurred in March 2026.

No warrants, other convertible instruments, repurchases, redemptions or transfers involving treasury shares were reported for the month.

Overall, PCPD’s share capital structure and total issued shares remained stable through March 2026, with minimal residual convertible exposure and ample headroom—approximately 10 % of current issued shares—still available under its 2025 Share Option Scheme.
