CAROTE LTD has scheduled its annual general meeting for 10:00 a.m. on 29 May 2026 at the company’s Hangzhou headquarters (Conference Room, 5th Floor, Unit 2, Tower 6, Sunshine City, Xiaoshan District).

Key resolutions to be tabled include:

1. Financial Statements and Dividend • Shareholders will vote on receiving the audited consolidated financial statements for the year ended 31 December 2025. • A final dividend for FY 2025 is proposed for approval (amount not disclosed in the notice).

2. Board Composition and Remuneration • Independent non-executive directors Ms. Yeung Shuet Fan Pamela and Mr. Shi Zhoufeng are nominated for re-election. • The board will be authorised to fix directors’ remuneration.

3. Auditor Re-appointment • PricewaterhouseCoopers is proposed for re-appointment as external auditor, with the board authorised to determine its fee.

4. General Mandates • Share Issuance: Directors seek authority to allot, issue and deal with unissued shares up to 20% of the company’s issued share capital, with an additional limit of up to 10% representing any shares repurchased. • Share Buy-Back: A mandate is sought to repurchase shares up to 10% of issued share capital on recognised exchanges. • Extension Mandate: Conditional on the above mandates passing, the issuance limit may be increased by the number of shares repurchased, capped at 10% of issued capital.

Administrative Details • The register of members will be closed from 26 May 2026 to 29 May 2026 (both dates inclusive). Share transfers must be lodged by 4:30 p.m. on 22 May 2026 to qualify for attendance and voting. • Forms of proxy must be deposited with Computershare Hong Kong Investor Services Limited at least 48 hours before the meeting.

As at the notice date (29 April 2026), the board comprises three executive directors—Mr. Zhang Guodong (Chairman), Ms. Lyu Yili and Mr. Xia Chenhao—and three independent non-executive directors—Ms. Yeung Shuet Fan Pamela, Dr. Chan Tin Wai David and Mr. Shi Zhoufeng.
