China Uptown Group Company Limited announced that Mr. Chen Faqing, aged 51, will join the board as an executive director on 5 June 2026.

Mr. Chen brings extensive experience in corporate operations, project preparation and cross-industry management. His past roles include chairman’s assistant at Wenzhou Chuanyang Maternity and Baby Products Co., Ltd. (Oct 2011–Jan 2016), executive director and general manager of Liuzi Culture (Wenzhou) Co., Ltd. (Aug 2016–Aug 2023) and deputy general manager of Wenzhou Zhili Technology Co., Ltd. (Sep 2024–Jul 2025).

Under the service contract signed on 5 June 2026, Mr. Chen will serve an initial one-year term, renewable subject to board approval and the company’s articles of association. The contract may be terminated with at least one month’s written notice or payment in lieu. He will not receive a fixed director’s fee but will be eligible for a discretionary bonus determined by the board upon remuneration committee recommendation.

The company confirmed that Mr. Chen: • has not held directorships in any other listed companies during the past three years; • holds no other positions within the Group; • has no relationships with existing directors, senior management, substantial or controlling shareholders; and • owns no shares in China Uptown under Part XV of the Securities and Futures Ordinance.

As of the announcement date, the board comprises four executive directors—Ms. Wu Yanhua (Chief Executive Officer), Mr. Lau Chi Yan, Pierre, Mr. Qian Sheng Hua and Mr. Chen Faqing—and three independent non-executive directors—Mr. Yau Sze Yeung, Mr. Su Zhi Jie and Ms. Aika Ouji.
