Guangzhou Rural Commercial Bank (01551) announced that Mr. Zheng Guojian, an independent non-executive director of the Bank, has submitted his resignation statement to the Board of Directors, stepping down from his roles as Independent Non-Executive Director of the Fourth Board of Directors, Chairman and Member of the Audit Committee, Member of the Nomination and Remuneration Committee, and Member of the Connected Transactions and Risk Management Committee. His decision is attributed to the need to dedicate more time to other personal affairs.

In accordance with the provisions of the Bank's articles of association, Mr. Zheng's resignation was reviewed and approved by the Bank's Board of Directors on February 3, 2026, and became effective on the same day.
