Beijing, 3 September 2026 — China CITIC Financial Asset Management Co., Ltd. (CITIC FAMC) secured overwhelming shareholder approval to appoint Mr. He Jingsong as Executive Director and Chairman of the Board at its first Extraordinary Shareholders’ Meeting (ESM) of 2026.
Shareholder turnout and voting results • Total share capital eligible to vote: 80.25 billion shares (comprising 44.88 billion Domestic Shares and 35.36 billion H Shares). • Shares represented in person or by proxy: 66.66 billion, equal to 83.06% of issued voting shares. • Resolution: Election of Mr. He Jingsong as Executive Director. – Votes in favour: 66.64 billion (99.98%). – Votes against: 15.80 million (0.02%). – Abstentions: 250 shares (negligible).
Governance implications Subject to approval of his directorship qualification by the National Financial Regulatory Administration, Mr. He Jingsong will serve a three-year term as Executive Director and Chairman, with eligibility for re-election. In line with the company’s Articles of Association, he will also chair the Board’s Strategic Development Committee during his tenure.
Meeting compliance and oversight The ESM, convened at CITIC FAMC’s Beijing headquarters and presided over by Executive Director Mr. Li Zimin, complied with the PRC Company Law, HKEX Listing Rules and the company’s Articles of Association. Computershare Hong Kong Investor Services Limited acted as vote counter, while representatives from major shareholders and legal counsel served as scrutineers.
