JF Smartinvest Intensifies Share Buybacks Amid Revenue Decline and Strategic Shift

JF Smartinvest (HKEX: 09636) has moved to stabilize market sentiment through consecutive share repurchases, spending approximately HK$3.19 million to buy back 112,000 shares on September 2, followed by HK$2.1 million for 72,800 shares on September 3, and HK$429,600 for 14,500 shares on September 4. The three-day buying spree totaled around 200,000 shares, yet the company's stock continues to trend downward, sliding from a January peak of HK$67 to roughly HK$29. The Shanghai-based fintech firm, which listed in Hong Kong in 2023, provides retail investors with securities advisory services, trading tools, and investor education. According to its latest interim report for the first half of 2026, the company's financials reveal a marked divergence between order intake and revenue recognition, raising questions about its trajectory amid tighter regulatory scrutiny and ongoing business restructuring.

Revenue and Profit Decline in First Half

The interim report shows total revenue of approximately HK$1.29 billion, a year-on-year drop of 38.6%. Net profit for the period stood at just HK$31.9 million, plummeting 96.3%, while profit attributable to equity holders fell by the same margin to HK$32.3 million. Excluding share-based payments and other non-operating items, adjusted profit under non-HKFRS measures was around HK$114 million, an 87.5% decline from HK$912.5 million in the prior-year period. Notably, total order value reached HK$1.68 billion, only 1.5% below last year's HK$1.71 billion, indicating resilience in cash-based orders despite the accounting revenue slump.

The gap between orders and revenue stems largely from regulatory measures that forced a temporary halt on new client acquisition. In February, the company's subsidiary, Shanghai Jiufang Yun Intelligent Technology Co., Ltd. (Jiufang Yun), was ordered by regulators to suspend onboarding of new customers for three months following compliance violations. This directly curbed customer acquisition during the period, with over 80% of first-half orders coming from repeat purchases by existing clients. Given the prepaid business model of securities advisory services, revenue is recognized gradually based on service delivery rather than at the point of payment, a factor that explains the timing mismatch.

The company explained that unearned amounts are recorded as contract liabilities, which swelled to HK$1.89 billion by mid-2026, a 133.6% surge year-on-year. These prepayments are expected to convert into revenue primarily over 2026 and 2027, providing a buffer against the current earnings pressure. At the same time, cost structures weighed on profitability. R&D spending climbed 13.68% to HK$167 million, earmarked for AI-driven advisory tools and product upgrades. Share-based compensation expenses also significantly dented book net profit, contributing to the large gap between adjusted and reported earnings.

The first-half performance was largely a consequence of the temporary regulatory disruption compounded by strategic investments. On the outlook, management said that while the expanded product matrix and resource allocation have raised near-term costs, these moves should diversify revenue streams and drive long-term value for clients, shareholders, and the company.

Navigating Transition Challenges

Under pressure, JF Smartinvest is pivoting from its traditional C-end advisory focus toward an "AI + internet brokerage" model. A cornerstone of this strategy was the acquisition of Fende Securities and related entities in January 2026, positioning the firm to enter the Hong Kong and US stock brokerage space. The company aims to build a next-generation online broker that integrates advisory services with securities trading, with Fende's business framework centered on dedicated advisors, in-depth research, and AI-driven investment solutions for Hong Kong retail investors.

Yet the transition is in its infancy. Fende's revenue contribution remains minimal, with securities services accounting for just 2.7% of total income during the reporting period—insufficient to offset volatility in the legacy advisory business. Meanwhile, the stock has suffered a steep pullback in 2026, falling from its HK$67 high to around HK$29 by early September, reflecting investor concerns over regulatory risks in the advisory sector and the uncertainties surrounding the transformation.

Regulatory compliance remains a critical focus. In February, Jiufang Yun received an administrative penalty from the Shanghai regulator for misleading marketing, untruthful livestream content, unqualified personnel dispensing investment advice, and inadequate compliance mechanisms. The firm was ordered to rectify these issues and suspend new client onboarding for three months, with monthly progress reports required. The company stated that all rectification measures have been fully implemented and closed out, emphasizing that no new clients were added during the suspension period.

Despite these efforts, consumer complaints alleging misleading promotional tactics continue to surface on platforms like Heimao and Xiaofeibao, with over 100 cases filed. One consumer reported losing HK$120,000 after following advisor guidance and being subsequently encouraged to renew services with promises of recovering all losses through upgraded mentorship. The company responded that it operates a dedicated customer complaint department to register and process all grievances, while Jiufang Yun has established a dual-layer compliance defense. This includes an AI-powered risk control platform that monitors all marketing content in real time, flagging non-compliant language, alongside a zero-tolerance policy for confirmed violations, with penalties ranging from compliance training to termination of employment.

In response to the prolonged share price decline, JF Smartinvest has persistently bought back stock, repurchasing 4.44 million shares for roughly HK$134 million in the first half of the year, plus the additional 200,000 shares in the latest sessions. Whether the stock can rebound ultimately hinges on fundamental improvements—such as order growth and revenue recovery after new client onboarding resumes—as well as the commercial rollout of Fende's brokerage services and the scalability of its AI products as a new growth engine.
