CICC Reports Minimal Uptake of H-Share Put Option Linked to Planned Mergers With Dongxing and Cinda Securities

China International Capital Corporation Limited (CICC) disclosed the outcome of its H-share put-option offer tied to the forthcoming three-way merger with Dongxing Securities and Cinda Securities.

During the declaration window from 15–17 September 2026, shareholders validly tendered 18,400 H shares, equivalent to approximately 0.0004% of CICC’s total issued share capital.

Settlement Process • Cheques for the consideration payable to qualified dissenting H-shareholders will be dispatched by ordinary post, and the corresponding share transfers to the designated put-option provider will occur “as soon as practicable,” according to the board. • The H-share register will be updated upon completion of the transfers.

Corporate Context The put-option mechanism was approved at CICC’s First Extraordinary General Meeting and class meetings on 8 June 2026, following the 17 December 2025 announcement of the proposed mergers. The specific mandate also authorises the issuance of CICC A shares to facilitate the combination with Dongxing Securities and Cinda Securities.
