BOCOM INTL (03329) announced that on February 3, 2026, the company entered into an Administrative and Non-Administrative Function Support Services Sharing Framework Agreement with BANKCOMM. Under this agreement, the BANKCOMM Group has consented to provide both administrative and non-administrative function support services to the BOCOM INTL Group.

The Administrative and Non-Administrative Function Support Services Sharing Framework Agreement is set to become effective from the date it receives approval from independent shareholders for the contemplated transactions under the agreement and the proposed annual caps, as required by the applicable listing rules, and will remain in force until December 31, 2028, inclusive. Following this initial term, the agreement will automatically renew for successive three-year periods, subject to compliance with the listing rules in effect at those times.

The transactions contemplated under the framework agreement will enable the BOCOM INTL Group to leverage the resources of the BANKCOMM Group, thereby enhancing its overall operational efficiency and cost-effectiveness. By consolidating certain administrative and non-administrative support functions, the BOCOM INTL Group can reduce resource duplication and minimize fixed investments in infrastructure, systems, and human resources, ultimately achieving economies of scale and lowering its operational costs.
