Yum China trims outstanding shares after latest cross-border buybacks; 3.86 million shares repurchased under 2026 mandate

Yum China Holdings, Inc. disclosed a further reduction in its share capital following coordinated repurchases in both Hong Kong and New York on 27 July 2026.

• Capital changes: The company cancelled 69,338 shares bought in the U.S. on 24 July at an average price of USD 43.27 each. Offsetting this, 41 new shares were issued to settle long-term incentive plan awards at USD 44.72 per share. Net of these movements, the outstanding share count fell 0.02 % to 343.43 million as of 27 July 2026.

• Pending cancellations: Between 2–27 July, Yum China repurchased but had not yet cancelled 476,083 shares—415,450 in Hong Kong and 60,633 in the U.S.—equal to roughly 0.14 % of current issued shares. All repurchases were executed by independent brokers under pre-authorised Rule 10b5-1 and Hong Kong automatic repurchase agreements.

• 27 July transactions: – Hong Kong Stock Exchange: 22,850 shares bought at HKD 338.00–347.60, for a total consideration of HKD 7.87 million (average ~HKD 344.25). – New York Stock Exchange: 60,633 shares bought at USD 44.23–44.74, for a total outlay of USD 2.70 million (average ~USD 44.53).

• Repurchase capacity: Since shareholders approved the latest mandate on 28 May 2026, the company has bought back 3.86 million shares, or 1.11 % of the share base at mandate date, against an authorisation to repurchase up to 34.66 million shares.

Yum China’s active buyback programme continues to modestly shrink the share float while utilising only a small fraction of its current repurchase mandate.
