Onewo Inc. (2602) announced that its controlling shareholder, China Vanke, has pledged 15,321,078 shares of Onewo Inc. as security under a loan framework agreement with Shenzhen Metro Group Co., Ltd. The total loan amount under the arrangement may reach RMB22,000,000,000.

According to the announcement, China Vanke currently controls voting rights for 660,602,000 shares, representing approximately 57.16% of Onewo Inc.’s total issued share capital (excluding treasury shares). The pledged 15,321,078 shares account for around 1.33% of the total share capital (excluding treasury shares) and, combined with previously pledged shares, represent approximately 57.16% of Onewo Inc.’s total issued share capital (excluding treasury shares).

The pledge does not provide guarantees for Onewo Inc.’s debts or obligations and does not affect China Vanke’s position as controlling shareholder. The normal operations of Onewo Inc. are also unaffected by this arrangement. Onewo Inc. will continue to monitor any significant developments related to the framework agreement and will release further announcements in accordance with applicable regulations.
