Insiders who bought US$343.0k worth of Pinstripes Holdings Inc. (NYSE:PNST) stock in the last year recovered part of their losses as the stock rose by 24% last week. However, the purchase is proving to be an expensive wager as insiders are yet to get ahead of their losses which currently stand at US$296k since the time of purchase.
Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

In the last twelve months, the biggest single purchase by an insider was when Chief Financial Officer Anthony Querciagrossa bought US$343k worth of shares at a price of US$3.43 per share. That means that an insider was happy to buy shares at above the current price of US$0.47. Their view may have changed since then, but at least it shows they felt optimistic at the time. We always take careful note of the price insiders pay when purchasing shares. Generally speaking, it catches our eye when an insider has purchased shares at above current prices, as it suggests they believed the shares were worth buying, even at a higher price. The only individual insider to buy over the last year was Anthony Querciagrossa.

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. It appears that Pinstripes Holdings insiders own 34% of the company, worth about US$8.0m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
It doesn't really mean much that no insider has traded Pinstripes Holdings shares in the last quarter. But insiders have shown more of an appetite for the stock, over the last year. Overall we don't see anything to make us think Pinstripes Holdings insiders are doubting the company, and they do own shares. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
