Viewing insider transactions for NewMarket Corporation's (NYSE:NEU ) over the last year, we see that insiders were net sellers. This means that a larger number of shares were sold by insiders in relation to shares purchased.
Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

In the last twelve months, the biggest single sale by an insider was when the Executive VP & Chief Administrative Officer, Bruce Hazelgrove, sold US$691k worth of shares at a price of US$545 per share. That means that even when the share price was below the current price of US$564, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 0.5% of Bruce Hazelgrove's stake. The only individual insider seller over the last year was Bruce Hazelgrove.

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. We usually like to see fairly high levels of insider ownership. NewMarket insiders own about US$890m worth of shares (which is 17% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
It doesn't really mean much that no insider has traded NewMarket shares in the last quarter. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the NewMarket insiders selling. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
