Additionally, a securities purchase agreement was finalized, led by Michael Hess of Hess Capital and Brian Paes-Braga of SAF Group, resulting in expected gross proceeds of $37 million through the issuance of 12.3 million common shares priced at $3.00 per share. Each share comes with a Class C warrant for the purchase of an additional share at an exercise price of $4.50, with a three-year term that includes a mandatory exercise provision if the stock trades above $7.00 for 20 consecutive trading days.
