ADTRAN Holdings Inc. has announced a significant amendment to its existing credit agreement. On May 6, 2025, the company, along with its subsidiaries ADTRAN, Inc. and Adtran Networks SE, entered into a Fifth Amendment to its Credit Agreement with Wells Fargo Bank and other lenders. This amendment led to a permanent partial reduction in the total commitments from $374.0 million to $350.0 million and reduced the German Borrower Sublimit from $74.0 million to $50.0 million. Additionally, the German Commitment Reduction Threshold was lowered to $25.0 million. The lenders also agreed to waive certain events of default related to inaccuracies in financial statements and breaches in financial covenants for the fiscal quarters ending June 30, 2024, and September 30, 2024. This amendment reflects ADTRAN's ongoing efforts to adjust its financial commitments and maintain financial stability.
