Hyperscale Data Inc. held a Special Meeting of Stockholders on May 19, 2025. During the meeting, stockholders voted on several proposals. The conversion of the Company's 60,000 shares of Series B Preferred Stock into Class A Common Stock was approved. The conversion of the SJC Exchange Note into Class A Common Stock was also approved. Additionally, the conversion of the A&R Forbearance Note into Class A Common Stock received approval. The conversion of the Orchid Exchange Note into Class A Common Stock was approved as well. Lastly, the conversion of the Orchid Convertible Note into Class A Common Stock was approved.
