Sanmina Corporation, a leader in integrated manufacturing solutions, has announced a definitive agreement to acquire the data center infrastructure manufacturing business of ZT Systems from AMD. The acquisition, valued at up to $3 billion, includes $2.55 billion in cash and equity, plus $450 million in contingent consideration. This strategic move aims to enhance Sanmina's scale and end-market exposure to cloud and AI infrastructure. The transaction is expected to be accretive to Sanmina's non-GAAP EPS within the first year after closing, which is anticipated near the end of 2025, subject to regulatory approvals. The acquisition aligns Sanmina and AMD's interests through equity considerations and establishes a preferred manufacturing partnership. Sanmina has secured $2.5 billion in committed financing from Bank of America to support the transaction.
