As part of the merger agreement, Nina Footwear has become a wholly-owned subsidiary of Kidpik, and the shareholders of Nina Footwear will receive approximately 77.2 million shares of Kidpik's common stock, representing 97.2% of the post-closing outstanding shares. The combined entity is set to be renamed "Nina Holding Corp." This strategic move is expected to enhance Kidpik's revenue, cash flow, and stockholder value, with plans to expand Nina Footwear's brand and product offerings internationally.
