Golden Ocean Group Limited has announced that its merger with CMB.TECH has been unanimously approved by both CMB.TECH's Supervisory Board and Golden Ocean's Board of Directors, along with a special transaction committee. The merger will see Golden Ocean merging with CMB.TECH Bermuda Ltd., a subsidiary of CMB.TECH, with the latter emerging as the surviving company. As part of the merger, Golden Ocean's outstanding common shares will be exchanged for newly issued CMB.TECH ordinary shares at an exchange ratio of 0.95. Completion of the merger will result in the creation of a large diversified maritime group with a combined fleet of approximately 250 vessels. Upon completion, CMB.TECH shareholders will own about 70% of the total issued share capital, while Golden Ocean shareholders will own approximately 30%. The merger is still subject to customary conditions, including regulatory approvals and Golden Ocean shareholder approval.
