On June 3, 2025, the company's Audit Committee dismissed KPMG LLP, which had served as the auditor for the fiscal year ending December 31, 2024. This decision followed an acquisition by an affiliate of Wendel SE, which acquired 75% of the equity interest of certain affiliates of Monroe Capital LLC, including the company's investment adviser. During KPMG's tenure, the firm had no disagreements with Monroe Capital on accounting principles or practices. Following the dismissal, the Audit Committee appointed Grant Thornton LLP as the new independent registered public accounting firm to audit the company's financial statements for the fiscal year ending December 31, 2025. Monroe Capital had not previously consulted with Grant Thornton on accounting matters before their appointment.
