Seagate Technology Holdings plc's subsidiary, Seagate HDD Cayman, has successfully completed a series of exchange offers and consent solicitations involving its outstanding senior notes. The offers allowed eligible holders to exchange their existing notes for new notes issued by Seagate Data Storage Technology Pte. Ltd. The initiative, aimed at adopting certain proposed amendments to the indentures governing the old notes, received the necessary consents by the early participation deadline. Subsequently, Seagate HDD executed supplemental indentures, which will become effective upon the settlement date of June 30, 2025. This move ensures that the proposed amendments are binding on all holders, even those who did not tender their old notes in the exchange offers.
