Innventure Inc. has announced that its controlled subsidiary, Accelsius, LLC, has entered into an Amended and Restated Technology License and Know-How Agreement with Nokia. This agreement, signed on June 30, 2025, updates the terms of the previous agreement from May 2022. Notably, the new agreement eliminates Accelsius' obligation to pay Nokia royalty payments based on revenues and extends the schedule for fixed installment payments. It also includes modifications to the buy-out fee payable to Nokia in lieu of future payments and grants Nokia certain information rights regarding Accelsius' equity ownership. The changes aim to support Accelsius' operations in two-phase cooling technology while adjusting financial and operational terms to benefit both parties.
