Vuzix Corporation has announced a change in its independent registered public accounting firm. As of August 22, 2025, the company's Audit Committee has replaced Freed Maxick P.C. with Withum Smith+Brown, PC. The reports from Freed Maxick for the fiscal years ending December 31, 2023, and 2024, were not adverse or modified. However, there was a noted material weakness in Vuzix's internal control over financial reporting for 2023, which was addressed in 2024. Vuzix did not consult Withum on any accounting issues prior to their engagement. The transition marks a strategic move as Withum takes over auditing responsibilities effective immediately.
