Top Midday Stories: PNC Acquires FirstBank for $4.10 Billion; EchoStar Sells Spectrum Licenses to SpaceX for $17 Billion

All three major US stock indexes were up in late-morning trading Monday, as investors looked ahead to two critical inflation data releases later this week.

In company news, PNC Financial Services Group (PNC) said Monday it has agreed to buy FirstBank Holding in a deal valued at $4.10 billion. The purchase price will be paid with about 13.9 million PNC Financial shares and $1.20 billion in cash, the company said. Boards of both companies have approved the acquisition, which is expected to be completed in early 2026, PNC said. Shares of PNC were down 0.6% around midday.

EchoStar (SATS) said Monday it signed a definitive deal to sell its AWS-4 and H-block spectrum licenses to SpaceX for about $17 billion. The company said the deal includes up to $8.5 billion in cash and up to $8.5 billion in SpaceX shares. Under the deal, SpaceX will also fund about $2 billion of cash interest payments payable on EchoStar debt through November, EchoStar said. Separately, EchoStar has sent a termination for convenience notification to MDA Space related to the $1.3 billion constellation contract announced on Aug. 1, MDA said. EchoStar shares were up 15.1%.

Tesla's (TSLA) share of total electric vehicle sales in the US fell to 38% in August, the first time its market share has dropped below 40% since October 2017, Reuters reported Monday, citing early data from Cox Automotive. Tesla shares were down 0.5%.

PubMatic (PUBM) said Monday it has filed a lawsuit against Alphabet's (GOOG, GOOGL) Google for alleged anticompetitive and monopolistic behavior in certain digital advertising markets. The ad exchange said the lawsuit, which was filed in the US District Court for the Eastern District of Virginia, seeks financial damages and the restoration of fair competition. PubMatic shares were up 0.3%, while those of Alphabet were up 0.3%.

Robinhood Markets (HOOD), AppLovin (APP) and Emcor Group (EME) will join the S&P 500, while MarketAxess Holdings (MKTX), Caesars Entertainment (CZR) and Enphase Energy (ENPH) will be removed from the index, S&P Dow Jones Indices said late Friday. Shares of Robinhood and AppLovin were up 14.2% and 11.3%, respectively, while Emcor shares were down 0.4%. MarketAxess, Caesars and Enphase were down 0.5%, 1.9% and 3.2%, respectively.
