Fox (FOXA, FOX) said late Monday that a secondary offering of its 16,835,016 class B common shares has been priced at $54.25 apiece.

The offering is by trusts established for the benefit of Prudence MacLeod, Elisabeth Murdoch and James Murdoch and his or her respective descendants and charitable organizations.

The company said that it's not selling any shares in the offering and that it will not receive any proceeds from the transaction.
