The company has entered into a securities purchase agreement with a single institutional investor for the purchase of 670,000 ordinary shares at $6.00 per share. In a concurrent private placement, Wearable Devices will issue warrants to purchase an additional 670,000 ordinary shares, exercisable immediately and expiring five years after the initial exercise date. The offerings are subject to customary closing conditions and are expected to close around mid-September 2025.
