SHF Holdings Inc. has announced a private placement agreement with a group of investors, resulting in the issuance and sale of 31,052 shares of Series B Convertible Preferred Stock and warrants to acquire up to 1,999,544 shares of Class A common stock. The warrants carry an exercise price of $7.7644 per share and become exercisable six months and one day after issuance, expiring three years later. The Series B Preferred Stock is immediately convertible at the same price. The transaction raised approximately $28.8 million, providing around $6.3 million in additional cash to the company. Certain members of management and the board participated as buyers, with the issuance of underlying shares to these insiders subject to stockholder approval. The company has also agreed to register the underlying common shares for resale.
