**Weatherford International Announces $1.2 Billion Senior Notes Offering to Refinance Debt** Weatherford International plc announced that its wholly owned subsidiary, Weatherford International Ltd., has completed the issuance of $1.2 billion in aggregate principal amount of 6.750% Senior Notes due 2033. The offering, completed on October 6, 2025, was made to qualified institutional buyers and investors outside the United States under Rule 144A and Regulation S of the Securities Act. The company intends to use the proceeds from this financing, along with cash on hand, to fund a previously announced tender offer for up to $1.3 billion of its outstanding 8.625% Senior Unsecured Notes due 2030, as well as to pay accrued interest, transaction fees, and related expenses. The new notes are senior unsecured obligations of the issuer and are guaranteed by Weatherford International plc and certain of its restricted subsidiaries.
