Viavi Solutions Inc. has completed its acquisition of Spirent Communications plc's high-speed ethernet, network security, and channel emulation testing business from Keysight Technologies, Inc. The deal, valued at $425 million in all-cash consideration and subject to customary closing adjustments, is expected to add approximately $180 million to Viavi's Network Service Enablement revenue in the first year following the close. Viavi anticipates the transaction will be accretive to non-GAAP EPS 12 months after closing and plans to use its U.S. net operating losses to lower the combined group's blended non-GAAP tax rate. To help finance the deal and related expenses, Viavi has entered into a $600 million senior secured term loan credit agreement with Wells Fargo Bank and other lenders. The acquisition expands Viavi's offerings across high-speed ethernet, network security, and channel emulation testing, adding complementary solutions for ethernet, application performance, security, AI, and digital infrastructure.
