Artelo Biosciences, Inc. entered into a cooperation agreement with Daniel S. Farb and certain of his affiliates following shareholder activism ahead of the company's 2025 annual meeting of stockholders. Under the agreement, Daniel Farb agreed to withdraw his nomination of candidates for election to Artelo Biosciences' board of directors. The Farb Parties also committed to standstill restrictions, including voting their shares in favor of board-nominated directors and in accordance with board recommendations on other proposals during a defined restricted period. Additionally, the Farb Parties agreed not to increase their beneficial ownership of Artelo Biosciences' common stock above 8.0% during this period. Both parties made mutual non-disparagement and release of claims commitments as part of the agreement.
