Magnum Says Ben & Jerry's Chair No Longer Meets Criteria to Sit on Board

Magnum Ice Cream said the chair of the board of Ben & Jerry's no longer meets the criteria to remain a member, following investigations commissioned by the company ahead of its planned spinoff from parent Unilever at the start of December.

The ice-cream business said it informed the board of Ben & Jerry's, one of its brands, that Chair Anuradha Mittal is no longer suitable for the position, following a probe from external advisers, according to a filing with the U.S. Securities and Exchange Commission.

The company did not state why Mittal should no longer remain on the board. Magnum said in the filing it has taken a pro-active approach to finding common ground with the board to avoid conflicts.

Mittal, who is the founder and executive director of Oakland Institute think-tank, has been a member of the board since 2007, according to the company's website.

"We have informed the Ben & Jerry's Board about the results of the investigation and will consider our options depending on the response we receive from them," Magnum said.

The move from Magnum is the latest in a series of disputes between Ben & Jerry's and Unilever's ice-cream business over the brand's social activism and political stances, notably on the Israel-Palestine conflict. Mittal didn't respond to requests to comment.

U.K.-based Magnum is pushing forward with a listing on the Euronext Amsterdam, NYSE and London Stock Exchange on Dec. 8.
