NanoViricides Inc. has announced a concurrent private placement alongside its registered direct offering, issuing Series A and Series B warrants to purchase up to 3,571,429 shares of common stock each. The Series A Warrants will have an exercise price of $1.75 per share, exercisable six months after issuance and expiring two years later. The Series B Warrants, with an exercise price of $2.00 per share-about a 20% premium to the prior closing price-become exercisable after six months and expire 5.5 years from issuance. The warrants and the shares underlying them will be sold to an institutional investor in a transaction exempt from SEC registration requirements.
