Dorchester Minerals LP has announced a regulatory issue following the passing of C.W. ("Bill") Russell, a manager and Advisory Committee member of its General Partner. With his passing, the number of members on the Advisory Committee-which also serves as the audit committee-fell from three to two, causing the Partnership to fall out of compliance with Nasdaq Listing Rules that require at least three independent audit committee members. Nasdaq has acknowledged the non-compliance and granted Dorchester Minerals LP a cure period to restore compliance, either until its next annual unitholders' meeting or by October 30, 2026, whichever comes first. The Partnership intends to appoint a qualified replacement before the cure period expires.
