The Charles Schwab Corporation (CSC) announced the issuance of two tranches of senior notes totaling $2 billion. The first issuance consists of $1,000,000,000 in 4.343% Fixed-to-Floating Rate Senior Notes due 2031, while the second issuance is $1,000,000,000 in 4.914% Fixed-to-Floating Rate Senior Notes due 2036. The net proceeds from the offerings were approximately $1,986,000,000 after deducting underwriting discounts, commissions, and estimated offering expenses. The notes were issued under the Senior Indenture dated November 14, 2025, as supplemented by the First Supplemental Indenture of the same date. The offering was made pursuant to a prospectus supplement dated November 12, 2025, and the accompanying prospectus dated December 1, 2023, filed with the Securities and Exchange Commission under CSC's effective registration statement on Form S-3 (File No. 333-275858).
