Under the plan, bonus amounts will be determined based on the company's achievement of specific goals related to non-GAAP operating income, revenue, and other performance metrics as set by the Compensation Committee. The calculation for each executive's bonus involves multiplying their base salary by a target bonus percentage and adjusting the result based on the extent to which performance goals are met and other discretionary criteria. The Chief Executive Officer may also recommend adjustments of up to 25% to the calculated award payout for consideration by the Compensation Committee. All bonus payments require committee approval and will be made within a set timeframe after the fiscal year, provided the executive is employed at the time of payment.
