Upwork Inc. has announced a new severance agreement for its incoming Chief Accounting Officer, Sabrina Mekhalfa, effective December 15, 2025. If terminated without cause outside of a change in control, Mekhalfa will receive a lump sum severance payment equal to six months of her base salary and up to six months of paid medical benefits. If her employment is terminated without cause or she resigns for good reason within three months before or twelve months after a change in control, she will be entitled to a lump sum payment equal to twelve months of base salary, a pro-rated target bonus, full acceleration of unvested equity and cash-based awards (excluding performance-based equity), and up to twelve months of paid medical benefits. The agreement is set for three years, with automatic three-year renewals unless either party provides advance notice.
