The Delaware Supreme Court has issued a ruling in the ongoing litigation related to Loews Corporation's 2018 acquisition of minority limited partner interests in its Boardwalk Pipelines subsidiary. The court found a breach connected to the underlying partnership agreement and has sent the issue of possible tortious interference back to the Delaware Court of Chancery for further proceedings. All other claims were resolved in favor of Loews. Previously, former minority unitholders had been awarded approximately $690 million plus interest by the Court of Chancery in 2021, but that decision was reversed by the Delaware Supreme Court in 2022. In September 2024, the Court of Chancery ruled in favor of Loews on the remaining claims, a decision that was later appealed. Interest on any potential damages would accrue from the date of the original transaction if Loews is ultimately found liable. The litigation, ongoing for over seven years, will continue as a result of the latest Supreme Court decision.
