Ingram Micro Shares Slide After Pricing Secondary Offering

Ingram Micro Holding shares fell after the company priced a secondary offering of common stock.

Shares were down 13%, to $22.98, in premarket trading Friday. Through Thursday's close, the stock is up 35% over the past year.

The technology company said one of its principal stockholders, Ingram Holdco, an affiliate of Platinum Equity, will sell 8.99 million shares of its common stock for $22.25 apiece.

The selling shareholder will additionally grant underwriters a 30-day option to purchase up to an additional 1.35 million shares of common stock at the public offering price, minus discounts and commissions, Ingram said.

The seller will receive all of the net proceeds from the offering.

Ingram previously disclosed a share repurchase agreement with the seller, expected to close on or near Monday.

Under the deal, Ingram will repurchase $75 million worth of shares of its common stock directly from the seller at the same net price paid to the seller by underwriters, the company said.
