Farmer Bros. (FARM) said at late Friday its stockholders voted to approve the proposed takeover of the company by Royal Cup at a special meeting held today.

The acquisition is expected to expand the company's national distribution network and enhance manufacturing capabilities, according to a statement.

Royal Cup has to close the deal May 6, subject to closing conditions, the company said.
