Corteva announced the composition of the board of directors for the spin-off of its advanced seed and genetics business.

The company said it had appointed seven members to the board of the new company, called Vylor. Their appointments will be effective once the spinoff takes place, expected to occur during the fourth quarter.

The board will be chaired by retired Wellington Management Company partner Karen Grimes and include the incoming chief executive of Vylor, Chuck Magro.

Also slated to join the board are Procter & Gamble Chief Research, Development and Innovation Officer Victor Aguilar, former president of John Deere Financial Rajesh Kalathur, former Ultrapar Participacões CEO Marcos Lutz, Merck & Co. Executive Vice President Johannes Oosthuizen, and Kerry Preete, a former chief strategy officer at Monsanto.

Corteva said a search is underway for at least one additional board member.

Grimes, Magro, Lutz, and Preete will all step off the board of Corteva following the separation. Incoming CEO Luke Kissam is joining Corteva's board.
